IF YOU JUST WANT FORGE AND OR OPTIFINE, START AT STEP 10.
You can not add files to a forge modified MineCraft JAR file. Heres what to do instead.

THIS TUT WILL NOT WORK WITH NEW Forge/Optifine/Mod VERSIONS. TO MOD 1.6.2 USE VERSIONS DATED 8/11/13 OR OLDER for Forge and Optifine. I will be making a new tut for 1.7.2 soon.
NOTE: These instructions were designed for people updating from 1.5.2 to 1.6.2. so not all steps are required.
START here to REBUILD the ENTIRE DIRECTORY-
((Now I am going to show you Forge/Optifine installations.))
10. Download Forge
http://files.minecraftforge.net/ - Get installer version.
11. Run the 'minecraftforge-installer-1.6.2-9.10.0.***.jar' by clicking on it. (or latest version)
choose client install. the directory provided is your default %appdata% .minecraft folder path and does not need to be edited.
12. run the official game client once and choose the forge profile. click on 'Edit Profile' and change the settings to your liking. Leave the 'JVM' box unchecked and launch the game once. Close Minecraft. Forge should have loaded up correctly with 3 mods loaded.
NOTE: You can load the Forge environment with Magic Launcher after you install Forge with the installer by selecting under the "Environment" box, "1.6.2-Forge9.10.0.8**"
((Optifine installation on a Forge environment)
No magic launcher? This instruction set uses 'Magic Launcher' to apply non Forge mods. See update log1 for How To Create a new Environment Profile for any launcher. (For installing mods with out forge).
13. Downloaded OptiFine_1.6.2_HD_U_B3.zip or B4. copy to the 'Magic folder' (or latest version)
14. Run the Magic Launcher and click on the 'Setup' TAB. Under 'Environment' at the top, choose the Forge environment If you have not done so already.
15. Add Optifine by clicking on the 'ADD' tab
16. Click on the 'advanced' TAB and in the 'parameters' box type in this-
o -Dfml.ignorePatchDiscrepancies=true"
Note: In later testing with newer Optifine B3/B4/Forge/Magic Launcher versions. Step 16 is no longer required. if your game crashes after installing optifine. Use step 16.
7. Run the game.
-forge will load up with minecraft showing 3 active mods and optifine B3 or B4 Launched with Magic Launcher
....to add future mods, add forge mods to the mods folder. If the mod does not require forge but wants modloader, you can add it to the magic folder and add it in the magic launcher.
NOTE: Add non forge mods to the magic folder and add them in the magic launcher. Forge will take care of any discrepancies ML is having. No worries. Add Forge mods to the mods folder. See update logs for alternate mod installations.
(do not put the same mods in both folders)

Re-Installing Minecraft from scratch.
Windows Vista/7 game path: C:Users/username/AppData/Roaming/.minecraft
START-RUN, type,%appdata% hit enter PATH= Roaming/.minecraft
Windows XP game path: C:Documents and Settings/Username/Application Data/.minecraft
Note: Make sure you can see hidden files. The Appdata folder is usually a hidden folder by default.
1. Cut/Paste '.minecraft' folder to "C:" for backup
2. Download Magic Launcher 1.1.7
3. Run magic launcher once from the download folder and it will create a new '.Minecraft' folder in the %appdata% directory. Close program. The ".minecraft" folder now has been re-created and only contains a 'magic' folder. The magic folder is empty.
4. Copy the "lastlogin" file from your ".minecraft" folder backup and place it into your new %appdata% '.minecraft' folder. Copy minecraft.exe from your ."minecraft" folder backup and place it in your new %appdata% '.minecraft' folder and run it.
5. Force update. Your login information will already be filled in. Launch the game client Minecraft.exe that came with the force update. Not the official launcher.

On my machine the mojang screen hangs and never loads. This is ok. we are just making program files. you only need to see the Mojang title screen then force close if it hangs.
-(ctrl+alt+delete)
-In task manager click 'Processes' tab and EndTask the java process using about 3-600mb memory.

6. Open the 'MineCraft.exe' from the %appdata% folder and download the new official game launcher and replace your game client with it. The new minecraft client file should be about 400kb and the old one your replacing is about 250kb.
7. Run the new 'minecraft.exe' from the %appdata% folder and you will get the console to load up. On my system a loading bar apears at the bottom of the console and takes about a min. I let it load then I loaded the game once.

8. Run 'magic launcher1.1.7' and click the 'Setup' tab and at the top of the magic launcher under 'envronment' you can now choose to use v1.6.2 MC

Note: Unless you know better for yourself, you do not need more then 1024mb memory here unless you use beyond normal view distances or texture packs larger then 128x.

I'm trying to fix this for 1.6.2, not 1.6.4 because of a server I want to join.
Step 4: There is no minecraft.exe in the original .minecraft
Step 5: The login information is not filled in, despite having the correct "lastlogin".
Step 5: Force update? I guess you mean via the official launcher. Copy Minecraft.exethat came with the force update!? How is this possible if I ran it in the first place.
Step 5b: it doesn't hang, it launches the game just fine.
Step 6: Download the 'official game launcher' using MineCraft.exe (which already is the official game launcher)? Does not compute. The game launcher has always been 660kB. What other launcher is there beside the official one and the magic launcher!?
I ignored this and went ahead with the remaining steps.
When I run magic launcher while Environment is at anything containing "forge", the launcher just closes and Minecraft never appears. In process explorer I can see another Java.exe pop up briefly before both Java.exe disappear.
You could still force update back then.
If you dont have minecraft.exe. download it from minecraft and run it once to create program files.
in order for magic launcher to detect game environments, you have to create them first with the official launcher.
a few forge and optifine updates later... they have failed to work for me using these instructions especially after optifine came out with that installer crap.
I am going to write a completely new TUT for 1.7.2 here in a few days.
NOTE: if you still wanna try modding 1.6.2 - USE Forge and Optifine versions from 8/11/13 or older.
You said "forge says OK"
this means you didn't install it correctly and you just tried 'adding' it to the magic launcher. you cant do it that way.
you need to download the installer version and set/change the environment box to the 1.6.2-Forge.9.10.0.***.jar at the top of ML on the 'Setup' tab.
After you do that you can add optifine with the 'ADD' button. (dont try sticking files in your JAR). Install your mods ONE at a TIME so you can watch and figure out compatibility issues.
